DYNARII PICK’EM TERMS

These Pick’Em Terms (these “Pick’Em Terms”) apply to your access to and participation in Dynarii’s pick’em contests and related features made available through the Services (the “Contests”). These Pick’Em Terms are Supplemental Terms to the Dynarii Terms of Service at https://www.dynarii.com/legal/terms(the “Terms”) and are in addition to, and not in lieu of, your rights and obligations under the Terms. If there is any conflict between these Pick’Em Terms and the Terms, these Pick’Em Terms will control with respect to the Contests. Capitalized terms not defined in these Pick’Em Terms have the meanings given to them in the Terms.

Please read these Pick’Em Terms carefully. By participating in any Contest, you agree to these Pick’Em Terms and the Terms. If you do not agree to these Pick’Em Terms or the Terms, do not participate in any Contest. For information about how Dynarii collects, uses, shares, and otherwise processes information about you, please see our Privacy Policy at https://www.dynarii.com/legal/privacy. FOR CLARITY, THE DISCLAIMERS, LIMITATION OF LIABILITY, RELEASE, DISPUTE RESOLUTION, BINDING ARBITRATION, GOVERNING LAW, AND CLASS ACTION WAIVER PROVISIONS IN THE TERMS APPLY TO THESE PICK’EM TERMS AND TO ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THESE PICK’EM TERMS OR THE PICK’EM CONTESTS.

  1. What are the Contests?

The Contests are simulated, fantasy-style contests offered through the Services in which eligible users predict, in head-to-head stock matchups, which of the two stocks will outperform the other based on percentage return over a specified period of time. Dynarii currently offers two Contest modes: Solo and Group. In both modes, all matchups are generated by Dynarii. Users do not create their own matchups, do not choose freely from the market, and do not receive betting lines, implied odds, handicaps, or point spreads. Instead, users are presented with a series of stock-versus-stock matchups and must select which stock they think will have the higher percentage return over the applicable contest window.

The Contests are entertainment features only. Users do not purchase, sell, hold, or otherwise transact in any actual securities or financial instruments through the Services or the Contests, and nothing in the Services or the Contests constitutes investment advice, financial advice, a recommendation, or an offer to buy or sell any security.

  1. Eligibility

To participate in any Contest, you must satisfy the eligibility requirements in the Terms. You must also have a valid Dynarii account in good standing and comply with these Pick’Em Terms and the Terms at all times. Participation in the Contests may be unavailable or restricted in certain jurisdictions or to certain users, and Dynarii reserves the right to refuse, limit, suspend, or revoke access to the Contests at any time.

  1. Matchup Generation and Contest Format

All stock matchups in the Contests are generated by Dynarii using proprietary systems and methodologies designed to create competitive, skill-expressive comparisons. Matchups may be generated using factors such as sector, volatility, market capitalization, relative price movement, price, and similar criteria selected by Dynarii in its discretion.

Users cannot select which stocks are paired, cannot alter matchups, and cannot influence matchup generation. Dynarii does not assign or publish traditional odds or betting lines for any matchup. Each matchup simply asks the user to predict which of the two presented stocks will outperform the other over the applicable contest window based on percentage return.

  1. Solo Contests
    1. In Solo mode, users participate individually and not against other users in a pooled contest. Dynarii makes available one free “Daily Set” each trading day. Each Daily Set contains a fixed number of system-generated stock matchups. Users may make or edit their picks for a Daily Set from the time the set is released until market open on the following trading day, at which point the picks for that set lock.
    2. Dynarii may also offer optional premium Solo sets (“Premium Sets”), including sector-specific or index-specific sets. Premium Sets are pre-curated by Dynarii, and users select only which stock in each matchup they believe will outperform; users do not choose the stocks included in the Premium Set and do not create their own pairings.
    3. Dynarii currently intends to release one new free Daily Set on each trading day from Sunday evening through Thursday evening, with no new Daily Sets released on weekends. Weekly Solo results are generally reflected on Friday, after which the cycle resets.
    4. Solo mode is intended to be an individual experience. There is no contest entry fee for the free Daily Set. Rewards available in Solo mode may include Experience Points(“XP”), Dynarii In-game credits (“Dynarii Credits”), leaderboard progression, and other in-platform benefits determined by Dynarii.
  2. Group Contests
    1. In Group mode, users participate in multiplayer contests against other users over a defined contest duration. Dynarii currently expects to make available Group contests in one-week, two-week, and three-week formats. Group contests open daily at 9:00 a.m. Eastern Time, subject to change by Dynarii.
    2. Users may join an open Group contest by paying the applicable entry fee in Dynarii Credits before the join window closes at 9:00 p.m. Eastern Time on the same day, unless the contest reaches its participant cap earlier. Once the join window closes, the first daily set of matchups is made available to all participants in that contest. After that, a new daily set is generally released each trading day at or around market close.
    3. Participants may make or edit their picks for each daily set until market open on the following trading day, at which point the picks lock. No retroactive picks are permitted after the applicable lock time. For weekend periods, Dynarii may treat Saturday and Sunday as a single extended period, with picks remaining editable during that period and locking at market open on Monday.
    4. Unless otherwise specified by Dynarii, a Group contest ends at market close on the same day of the week as its start date after the applicable one-week, two-week, or three-week duration has elapsed.
  3. Entry fees, Premium Sets, and Dynarii Credits
    1. Certain Group contests require an entry fee, and certain Premium Sets may require payment, in each case denominated solely in Dynarii Credits. As between real-world currency and in-platform currency, Contests operate only through Dynarii Credit mechanics at launch.
    2. All prizes, rewards, entry fees, and Premium Set pricing described in these Pick’Em Terms are subject to the Terms and any applicable Supplemental Terms governing the foregoing. Dynarii Credits are not legal tender, are not redeemable for cash, and have no cash value except as may be required by applicable law.
    3. At launch, Contest rewards are denominated exclusively in Dynarii Credits. Dynarii does not offer cash prizes, real-money withdrawals, or cash-equivalent rewards in connection with the Contests.
  4. Submitting picks and lock rules
    1. Users are solely responsible for submitting their picks before the applicable lock time. Users may edit their picks only until the relevant set locks. Once a set locks, picks are final for that set and cannot be changed.
    2. In Solo mode, picks for a Daily Set or Premium Set lock at market open on the following trading day. In Group mode, picks for each daily set lock at market open on the following trading day after the set is released. If a user misses the lock deadline, the missed pick or picks will be handled as described in these Pick’Em Terms or as otherwise communicated by Dynarii in the Services.
    3. Dynarii may, in its discretion, reject, invalidate, or correct picks that are incomplete, corrupted, duplicated, submitted through unauthorized means, or affected by technical or operational error.
  5. Auto-picks for missed Group picks

If a participant in a Group contest does not submit picks for a given daily set before the applicable lock time, Dynarii may automatically generate picks for that participant using a random process. Auto-picks are intended to keep the participant active in the contest and do not guarantee any particular result or confer any advantage.

  1. Scoring
    1. For Group contests, a participant earns one point for each matchup in which the participant selected the stock that achieved the higher percentage return over the applicable contest window. The participant with the highest total number of correct picks across all daily sets in the contest will rank highest on the leaderboard.
    2. For Solo mode, users may earn XP for picks submitted and Dynarii Credits or other in-platform rewards for correct picks, as determined by Dynarii and displayed in the Services. Dynarii may also display weekly recaps, total correct picks, XP, Credits, leaderboard positions, or similar performance metrics in connection with Solo participation.
    3. All standings, leaderboards, scores, and similar results shown during a contest are unofficial until finalized by Dynarii.
  2. Ties

If both stocks in a matchup finish with identical percentage returns over the applicable contest window, Dynarii will treat that matchup as a correct pick for the user. If two or more users tie for a winning position in a Group contest, Dynarii will split the applicable prize or reward evenly among the tied users unless otherwise specified by Dynarii for that contest.

  1. Rewards and prize pools
    1. Rewards available through the Contests may include XP, Dynarii Credits, prize-pool allocations, leaderboard placement, and other in-platform benefits designated by Dynarii. All rewards are promotional in nature, personal to the applicable user account, non-transferable except as expressly permitted by Dynarii, and subject to correction, reversal, withholding, reduction, or forfeiture if Dynarii determines that they were awarded in error or in connection with fraud, abuse, violation of these Pick’Em Terms, violation of the Terms, or other improper conduct.
    2. For Group contests, prize pools are funded entirely by participants entry credits (denominated in Dynarii Credits), less a platform fee (the “house rake”) of approximately 8.33% of the total prize pool. The prize pools consist solely of Dynarii Credits and all prizes will be paid solely in Dynarii Credits.
    3. Unless otherwise specified by Dynarii for a particular contest, the remaining prize pool after deduction of the House Rake is allocated among the top three finishing participants as follows: (i) first place receives approximately 66.67% of the prize pool, (ii) second place receives approximately 25.00% of the prize pool, and (iii) third place receives an amount equal to that participant’s entry fee.
    4. In the event of a tie in a Group contest, tied participants will split the combined prize amounts for the tied positions. By way of example: (i) if two participants tie for first place, they will split equally the combined first- and second-place prizes; (ii) if two participants tie for second place, they will split equally the combined second- and third-place prizes; and (iii) if two or more participants tie for third place, each such participant will receive an amount equal to their entry fee.
    5. Solo mode rewards are determined by Dynarii and may include XP, Dynarii Credits, and other in-platform benefits based on participation, accuracy of picks, or other criteria displayed in the Services.
    6. Dynarii does not guarantee that any Contest, reward, prize pool, or payout structure will always be available, remain unchanged, or be offered on any particular schedule.
  2. Contest cancellation

Dynarii may cancel, suspend, delay, or modify any Contest or any portion of a Contest if Dynarii determines, in its discretion, that doing so is necessary or appropriate for operational, technical, legal, compliance, integrity, market-related, or other reasons. If a Group contest reaches the applicable join-window close with zero human participants, Dynarii may cancel that contest and no entry fees will be charged for that cancelled contest. Dynarii may also cancel or modify contests affected by technical failures, data-feed issues, administrative errors, suspected abuse, participant-cap issues, or other circumstances that interfere with fair or intended contest operation, in which case any collected entry fees will be refunded in Dynarii Credits.

  1. Voided matchups and extraordinary market events
    1. Dynarii may void, exclude, modify the scoring treatment of, or otherwise specially resolve any matchup affected by extraordinary circumstances, including trading halts, suspensions, delistings, corporate actions, data failures, pricing anomalies, force majeure events, or other events that Dynarii determines materially impair fair contest resolution.
    2. If a matchup is voided, Dynarii may exclude it from scoring, treat it as a push, award neutral credit, or apply another resolution method communicated by Dynarii in the Services or otherwise determined by Dynarii in its discretion. Dynarii’s resolution of any such issue will be final, subject to applicable law.
  2. Contest fill, duplicate contests, and bots
    1. Dynarii may set minimums, maximums, or participant caps for Group contests. If a Group contest reaches its participant cap before the join window closes, Dynarii may automatically create duplicate contests or otherwise make additional contest capacity available.
    2. At launch, if a Group contest does not fill entirely with human participants by the applicable lock time, Dynarii may fill open slots with system-generated bot participants so that the contest can proceed. Dynarii may modify, limit, disclose, or discontinue bot participation at any time.
    3. Dynarii reserves the right to determine how bot participants are displayed, whether they appear on leaderboards, and how their participation affects contest administration, subject to disclosures made in the Services and applicable law.
  3. Market data and informational content
    1. The Contests may display stock names, ticker symbols, percentage-return information, standings, and other market-related or informational content obtained from Dynarii or third-party data providers. Such information may be delayed, incomplete, inaccurate, unavailable, or subject to correction, and Dynarii does not guarantee its accuracy, completeness, timeliness, or availability.
    2. All market-related information made available through the Contests is provided solely as part of the simulated, fantasy-style experience offered through the Services. Users may not rely on that information for actual trading, investing, or financial decision-making. The disclaimers in the Terms regarding financial information, third-party data, hypothetical performance, and simulated results apply fully to the Contests.
  4. Prohibited conduct in Contests

Without limiting the Terms, users may not use the Contests in any unlawful, fraudulent, abusive, manipulative, or unauthorized manner. This includes attempting to exploit bugs or errors, using bots or automation except as expressly permitted by Dynarii, creating multiple accounts for unfair advantage, colluding with other users, interfering with contest operations, scraping contest data, or attempting to manipulate scores, rankings, rewards, or contest outcomes. Dynarii may investigate suspected misconduct and may suspend or terminate accounts, disqualify users, void picks, cancel entries, reverse rewards, or take any other action permitted by the Terms.

  1. Errors; corrections; final decisions

Dynarii reserves the right to correct any error relating to the Contests, including errors involving matchup presentation, lock times, scoring, standings, rewards, pricing, contest descriptions, or displayed data, even if the error is discovered after picks have been submitted or after rewards have been provisionally displayed. All decisions made by Dynarii regarding the administration of the Contests, including eligibility, matchup generation, scoring, tie treatment, voided matchups, contest cancellation, prize allocation, and rule interpretation, are final and binding to the fullest extent permitted by law.

  1. Changes to the Contests and these Pick’Em Terms

Dynarii may modify, suspend, or discontinue any aspect of the Contests at any time, including contest formats, durations, release schedules, lock times, entry fees, Premium Sets, scoring mechanics, rewards, bot participation, and eligibility requirements. Dynarii may also update these Pick’Em Terms from time to time in accordance with Section 1 of the Terms. Unless otherwise stated, changes will be effective immediately upon posting or as otherwise communicated by Dynarii.
